About Us

The Bridgenorth Business Association  is a newly formed not-for-profit organization that currently represents approximately 75 businesses in the Hamlet of Bridgenorth and the surrounding area.  Business interest in our association is growing rapidly.

The mandate of the BBA, as approved by its members, is to:

  •  Work with Municipal and County Councils to support, protect and promote/encourage the economic well-being of all businesses in Bridgenorth.
  • Speak as one voice for all business interests in the Bridgenorth community.
  • Provide information (via a website) for all businesses currently in Bridgenorth and any new businesses wishing to establish themselves in Bridgenorth.
  • Provide mutual assistance and an opportunity to network with all business interests in the community.
  • Promote Bridgenorth as a viable economic place to visit and to grow a new business.

The goals of the BBA include: 

  1. Working towards the removal of the proposed bypass around Bridgenorth, which threatens the expansion of existing businesses, and new business ventures in the community.
  2. Establishing a community website for the organization
  3. Lobbying County Council to bury all utilities underground when the expansion ofWard Streettakes place.
  4. Beautifying the gateways to the community.
  5. Increasing the interest in the existing trails in the community with the option of expanding the trails.
  6. Assisting in establishing much needed housing for seniors in Bridgenorth.
  7. Investigating the options available for providing sewer and water to Bridgenorth at a reasonable cost to businesses and individual ratepayers.
  8. Creating a vision of progress and growth for the community.
The Policies of the Bridgenorth Business Association
A policy is a statement that reflects the   goals, values and beliefs consistent with the    Bridgenorth Business Association (BBA) Constitution. It is a stand or   position providing the framework for action to guide officers and members.

THE MEANING AND PURPOSE OF POLICIES

The policies of the BBA are statements of the goals and beliefs to which its   members subscribe.
The purpose of policy statements is:

  1.   To guide the officers of the BBA in their public statements   and in their planning of action and the conduct of BBA activities;
  2.   To provide guidance to the annual general meeting   when specific proposals for action for activities are placed before it.

ADMINISTRATION

  1.   That all structures, committees and programs are   reviewed on a cyclical basis annually by the group and/or individual   responsible for that structure, committee or program.
  2.   That a quorum of any meeting be two-thirds of the   members in good standing who are present.
  3.   That the BBA and its members support the concept of   one Association that represents business interests in Bridgenorth and its   surrounding area.
Constitution of the Bridgenorth Business Association

1. The name of the association shall be the   Bridgenorth Business Association, hereinafter known as the BBA.

2. The objectives of the BBA shall be:
a)  To work with Municipal and County   Councils to support, protect, and promote/encourage the economic well-being   of all businesses in Bridgenorth.

b)   To   provide more influence and power over decisions made by the municipality and   County Council.

c)    To   speak as one voice for all business interests in the Bridgenorth community.

d)   To   provide a consistent and reliable means by which to communicate   information  to other business owners.

e)    To   provide mutual assistance and an opportunity to network with all business   interests in the community.

f)    To   promote Bridgenorth as a viable economic place to visit and to grow a new   business.

g)   To   create a vision of progress and growth for the community

3. The BBA shall include:
a)   Any interested business owner(s)   operating in the vicinity of Bridgenorth and/or in the surrounding area who   have like-minded interests in strengthening existing or new business   opportunities in each/all communities which are represented.  To be a member in good standing of the BBA,   a member must have paid yearly fees as determined by a two-thirds majority   vote of voting members in good standing present at the Annual General Meeting,   beginning in 2013.

4. The officers of the Bridgenorth Business   Association shall be the Chair, Two Vice-Chairs, a Secretary, a Treasurer,   and up to four Directors at large.  No   officers of the BBA shall receive any compensation for performing their   duties as officers but shall volunteer their services and pay their own   expenses.

5.  The   fiscal year of the BBA shall terminate on the 31st day of December   and begin on the 1st day of January in each year.

6.  A   general meeting of the BBA shall be held annually on or before  the last day of February.  Each member in good standing will have one   vote and must be present at the meeting to cast the vote.  Voting by proxy is not permitted.

7.  The   head office or office of operation of the BBA shall be in Bridgenorth, in the  province of Ontario.

8.  The   rules contained in the latest addition of Robert’s Rules of Order, where they   are not inconsistent with this constitution or any special rules of order the   BBA may adopt, shall govern the Bridgenorth Business Association.  (See Robert’s Rules)

9 . This constitution may be amended by a   two-thirds affirmative vote of the voting members present at the Annual   General Meeting of the Bridgenorth Business Association.  Notifications to amend this Constitution   must be presented in writing as a “notice for an amendment” at any prior   General an/or Executive Meeting throughout the year.

The Bylaws of the Bridgenorth Business Association      

  1. 1.      Membership
    1.1 Types of Membership

1.1.1 Full Membership:   shall be available to any interested business owner(s) operating in the   vicinity of Bridgenorth and/or in the surrounding area who have like-minded   interests in strengthening existing or new business opportunities in each/all   communities which are represented.  To   be a member in good standing of the BBA, a member must have paid yearly fees,   as determined by a two-thirds majority vote of voting members in good   standing present at the Annual General Meeting, beginning in 2013.

1.1.2 Honorary Membership: may   be conferred on individuals at the discretion of the Executive and Board of   Directors of the Bridgenorth Business Association.  Honorary Members are not required to pay   fees to be a member in good standing.    Honorary members may vote.

1.1.3 Reciprocal Membership: are group memberships with   other organizations that must be approved by the BBA Executive and Board of   Directors. Upon approval, each group becomes a member of the other’s   organization but is not required to pay fees to be a member in good standing.  Reciprocal members cannot vote.

1.1.4 Mailing Membership: Libraries or similar institutions   may subscribe to a mailing/electronic service for the purpose of receiving   regular association mailings/electronic communications. Mailing members must   be approved by the Executive and Board of Directors.  Mailing members do not pay fees.  Mailing members are not eligible to vote.

1.2 Approval of Membership
All memberships are subject to the approval of the Executive and Board of   Directors of the BBA. The Executive and Board of Directors may give special   consideration to membership applicants who do not exactly meet the   requirements as outlined above.

1.3 Rights and privileges of Membership
All BBA members in good standing shall receive the following rights and   privileges unless otherwise limited:

• Receive print and/or electronic communication at least once a month from   the Executive and Board of Directors
• Receive access to the BBA website and the opportunity to highlight special   business events
• Receive mutual assistance when requested and an opportunity to network with   other business members in the community
1.4 Right to Vote
Members in good standing shall have the right to vote at the Annual General   Meeting and/or at any other time that a matter is brought before the   membership.  Reciprocal Members and   Mailing Members do not have the right to vote.

1.5 Right to Hold Office
Members in good standing shall have the right to hold office as a member of   the Board of Directors and/or Executive of the BBA.  Reciprocal Members and Mailing Members do   not have the right to vote.

1.6 Forfeiture of Membership
Forfeiture of Membership will take place if a member in good standing fails to   pay his/her membership fees by April 1st .    When membership is forfeited, the member shall forfeit his/her right   to vote and hold office.  Membership   will be re-instated when annual fees are paid.

2. Fees

2.1  Yearly fees will be determined by   a two-thirds majority vote of voting members in good standing present at the   Annual General Meeting, beginning in 2013.    The yearly fee for 2012 is $100. but payment of the fee in full or in   part is optional for this one year only.

2.2  Reciprocal   members pay no fees to the BBA and the BBA pays no membership fee to the   Reciprocal member.

2.3 Mailing Members (at the discretion of the Executive and Board of   Directors)
pay no fees.
2.4 Membership fees are due on or before April 1st   .
The Executive Secretary shall notify BBA members immediately following the   Annual General Meeting in February requesting payment of fees. If fees remain   unpaid after April 1st, membership will be considered lapsed.   Reinstatement shall be possible if a renewal is submitted.

2.5 No refund of fees will be given to a member.

3. Board of Directors

3.1 Composition
The Board of Directors shall be composed of:
3.11 The Executive Officers.

3.12 Up to four Directors at Large.
3.2 Duties of the Board of Directors

3.21 Executive Officers and Directors shall administer the affairs of the Bridgenorth   Business Association.

3.22 The Board of Directors shall meet at least six times per year at the   call of the President or designate, or upon the written request of at least   eight members of the Board of Directors.

3.23 If a member of the Board of Directors misses two consecutive meetings of   the Board of Directors without notifying the Executive Secretary or President   prior to the time of the meeting of an acceptable reason, the Board of   Directors will take steps to appoint a replacement for the unexpired term of   office.

3.3 Executive Officers

3.31 The Executive Officers of the BBA shall be a Past Chair (if available   and willing), a Chair, two Vice-Chairs, a Secretary, and a Treasurer

3.32 The Executive Officers shall hold office for one year or until their   successors are chosen. Each may serve a maximum of three terms in any one   office.

3.33 In the event that an executive officer is unable to complete his/her term   of office, the Board of Directors will appoint a replacement for the duration   of the term.

3.4 Duties of Executive Officers

3.41 The Chair shall be the Chief Executive Officer and shall preside at   meetings of the Association and the Board of Directors and shall be an   “ex-officio” member of all committees thereof.  The Chair shall have signing authority on   all documents other than financial.

3.42 The Vice-Chairs shall assist the Chair in the discharge of duties and in   the absence of the Chair shall take turns presiding at meetings of the Bridgenorth   Business Association and of the Board of Directors.  In the absence of the Chair, the Vice-Chairs   together shall have signing authority on all documents other than financial.
3.43 The Vice-Chairs shall be responsible for any or all duties as assigned   by the Chair.

3.44 Specific duties for all positions shall be outlined in the procedures   manual.

3.45 The Executive Officers shall appoint annually a bookkeeper, to sit on   the Executive as the Treasurer.

3.46 All Executive Officers with the exception of the Treasurer will be   elected annually.

3.5   Roles and Duties Within the Committee Structure

All Executive and Board of Directors:

  •   Must be prepared for each Board meeting by   reviewing all minutes, reports, or other documents sent by the Secretary or   designate on behalf of any Board member
  •   Are required to participate in discussion   around these minutes, reports, etc…
  •   Are required to be an active contributor to   the ideas and workload of the Board
  •   Should be prepared to volunteer to take on   tasks: eg. Assist with the website
  •   Should be prepared to submit a report at a Board   meeting on work they have done or how they have represented the BBA outside   the board meetings
  •   Should look for opportunities to promote the   BBA outside the Board meeting through other associations or affiliations   which are like minded
  •   Must be prepared to respond in a timely   fashion to communication (email, phone, etc…)

    Committee Chairs

    • See roles and duties of all Executive and Directors
    • Act as a catalyst to stimulate ideas around new goals and directions for   their committee based on recommendations from the Executive, and creative   ideas within their committee
    • Delegate duties within their committee
    • Promote communication within their committee between meetings to ensure   goals are being met
    • Seek support/advice from Executive members where necessary

    Committee Members

    • See roles and duties of all Executive and Directors
    • Develop overall goals for the Bridgenorth Business Association – see   Constitution
    • Actively pursue all opportunities to improve the BBA as an organization
    • Establish strategies to develop partnerships and other opportunities to   make connections with like-minded partners
    • Support the Committee Chairs and all Board members in their roles

    4. Meetings

    4.1 The Annual General Meeting shall be held at a place, determined by the Executive   and Board of Directors, on or before the last day of February.

    4.2 Special Meetings of the BBA shall be held:
    (a) at the call of the Board of Directors,
    OR
    (b) upon written request of ten members in good standing….not including the   Executive and Board of Directors

In business meetings of the Bridgenorth   Business Association all members in good standing shall have a vote.

Six (6) members of the Board   of Directors shall form a quorum for the transaction of business.

5. Election of Officers

5.1 Eligibility for Office
Members in good standing, having paid their annual fees in full shall be   eligible for any office.

5.2 Elections

5.2.1 Each year the Chair shall call for nominations from the membership for   the positions of Chair, two Vice-Chairs, a Secretary and up to four Directors.    All current Executive members and   Board members should declare their intentions to remain on the Board if   elected, at least 30 days prior to the Annual General Meeting in February, by   submitting a nomination form signed by two BBA voting members.
5.2.2 Additional nominations may be submitted prior to the AGM and/or from   the floor at the Annual General Meeting to the Chair on a nomination form   signed by two BBA voting members.

5.2.3          Each Executive member or Director shall be directed   to hold office until his successor shall have been duly elected and   qualified.

5.2.4          The election shall be by paper ballot.

6. Un-expired Term Of Office

6.1 The Board of Directors of the BBA shall have the authority to appoint   from the membership a suitable person to fill any unexpired term of office   occurring from the death or resignation of a member of the Board of Directors   except as otherwise provided for in the Bylaw.

7. Amendments To   Bylaws

7.1 Notice of change in respect to these Bylaws shall be signed by at least   ten members in good standing of the Bridgenorth Business Association and submitted   to the President at least forty-five days before the Annual General Meeting.   The President and Board of Directors shall notify all members of the proposed   change(s) at least thirty days before the vote is taken at the Annual Meeting   and also shall state at what session of the Annual General Meeting the vote   will be taken.

7.2 Amendments to these Bylaws by the BBA shall be accomplished only by a   two-thirds affirmative vote of the members in good standing present at the Annual   General Meeting in February.

8. Management Of Subsequent Bylaws

The Board of Directors shall be empowered to make new Bylaws subsequent to   these Bylaws. Adoption, amendment, or deletion of any Bylaw subsequent to   these Bylaws must have a two-thirds affirmative vote of the total membership   in good standing present at the Annual General Meeting.

9. Fiscal Year of The Association

The Fiscal Year of the Association shall be January 1st to   December 31st .  An annual   unaudited report shall be made by an accountant registered in the Province of Ontario at each Annual General Meeting   of the BBA.
